Annual Financial Report for 2025: The deadline for publication is September 30, 2026.

Blog

By 30 September 2026 , all enterprises that carried out activity during 2025 г.must publish their annual financial statements in the Commercial Register. The mere preparation of the statements by the accountant does not fulfil the obligation to publish them.

Before filing, the statements must be duly signed and adopted by the competent body of the company – - for example, the general meeting of the partners or the sole owner of the capital. The accompanying documents and declarations must also be prepared, with the specific set depending on the category and particularities of the enterprise.

The documents are filed using application form G2, electronically or on site at the Registry Agency. No state fee is due for the publication of the annual financial statements.

Who Is Required to Publish Annual Financial Statements?

  • All traders within the meaning of the Commerce Act - EOOD, OOD, AD, EAD, DPK, EDPK, general partnerships and limited partnerships;
  • Branches of foreign entities;
  • Non-profit legal entities - in the Register of Non-Profit Legal Entities; those operating for the public benefit publish an annual activity report together with the statements;
  • Sole traders - only where their statements are subject to a mandatory independent financial audit.

The law provides for exceptions, including for enterprises that did not carry out activity during the reporting period, for sole traders that are not subject to a mandatory independent financial audit, as well as for budgetary enterprises. Where no activity was carried out, separate declaration rules apply. For persons subject to the obligation, failure to meet the publication deadline may lead to a fine for the responsible person and a pecuniary sanction for the enterprise.

The Two Deadlines Most Often Confused

  • 30 September 2026 publication of the annual financial statements for 2025 using application G2, for companies that carried out activity;;
  • 30 June 2026 - declaration under Article 38, paragraph 9, item 2 of the Accounting Act using application G3, for companies out activity..

For a company to be considered a "company without activity", it must meet the conditions set out in the Accounting Act. The nature of the transactions carried out is relevant - an isolated expense or movement in the bank account does not automatically result in an obligation to publish annual financial statements.

The absence of activity is declared once for the first year in which the company did not carry out activity, by 30 June of the following year. Missing this deadline does not remove the obligation - the declaration must still be filed, albeit late.

What Does Missing the Deadline Cost?

The sanctions are provided for in Article 74 of the Accounting Act:

  • for the manager - a fine from BGN 200 to BGN 3,000 (approximately EUR 102 - EUR 1,534);
  • for the company - a pecuniary sanction of 0.1% to 0.5% of the net sales revenue for the reporting period, but not less than BGN 200 (EUR 102.26);
  • in the event of a repeated violation, the amounts are doubled.

Do not leave the preparation until the last day. Once the statements have been prepared, adopted and signed , the KGK team can take over the review of the documents, preparation of the necessary declarations, filing of the application and monitoring it until the statements are published.
